Simor Terms of Service

Version: 1.1
Last updated: July 30, 2026
Public URL: https://simor.app/terms-and-conditions

1. Agreement to These Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “your,” or “user”) and Simor Labs Inc. (“Company,” “we,” “us,” or “our”), concerning your access to and use of the Simor mobile application and related services that link to these Terms (collectively, the “Services” or “App”).

By creating an account, tapping to accept these Terms in the App, or otherwise expressly agreeing to them, you agree to be bound by these Terms. If you do not agree, do not use the Services.

We may update these Terms from time to time. We will update the “Last updated” date and may update a version identifier used in the App. Material changes (including changes to paid features, billing, dispute resolution, liability, or how we use User Content) will be presented for affirmative in-app acceptance where our acceptance flow is enabled, and will not apply retroactively to accrued claims. For non-material changes, we may notify you in-App or by email, and—subject to mandatory law—continued use after notice may constitute acceptance. If you do not agree to updated Terms, stop using the Services and cancel any store subscription as described below.

Please also read our Privacy Policy at https://simor.app/privacy-policy. The Privacy Policy is separate from these Terms. If there is a conflict between these Terms and the Privacy Policy about personal information practices, the Privacy Policy controls for that subject.

2. Who We Are and How to Contact Us

We are Simor Labs Inc., a corporation incorporated under the laws of Ontario, Canada (Business Number 779769967), doing business as Simor.

Registered / notice address:
350 Bay St, Suite 1300B Toronto, ON M5H 2S6 Canada

Email: support@simor.app

(We do not publish a separate customer telephone line; email is our primary contact channel.)

3. The Services

Simor is a consumer wellness and nutrition tracking application. Features may include (depending on your plan and the version of the App):

  • setting personal goals (such as calorie or weight-related goals);
  • logging meals and foods using text, photos, and/or voice inputs analyzed with artificial intelligence (“AI”);
  • viewing estimates of calories, macros, and related nutrition information;
  • account, profile (including optional avatar), and history features; and
  • optional paid subscription features.

We may change, add, or remove features, impose or change free-tier limits, or discontinue the Services (in whole or in part), subject to applicable law, these Terms (including Section 15 regarding paid periods), and any non-waivable rights you may have.

The Services are intended for personal, non-commercial use unless we expressly agree otherwise in writing.

4. Eligibility

The Services are intended only for users who are at least 16 years old. By using the Services, you represent that you are 16 or older.

If you are under 18 (or under the age of majority where you live) but at least 16, you may use the Services only if a parent or legal guardian has reviewed these Terms and agrees to them on your behalf. In that case, “you” includes the parent or guardian to the extent required for a binding agreement, and the parent or guardian is responsible for your use of the Services.

If we learn that a user is under 16, we will terminate the account, delete associated personal data as described in our Privacy Policy (subject to legal retention needs), and—where we actually received subscription amounts attributable to that account—cooperate with applicable store refund processes and any non-waivable statutory refund rights.

5. Accounts and Security

You may need to create an account and authenticate (for example via email, Apple, Google, or other methods we offer) to use some or all of the Services.

You agree to:

  • provide accurate, current, and complete registration information and keep it updated;
  • maintain the confidentiality of your login credentials and devices;
  • notify us promptly at support@simor.app if you suspect unauthorized access to your account; and
  • take responsibility for activity that occurs under your account, except to the extent caused by our failure to implement reasonable security measures required by law.

We may refuse registration, reclaim identifiers, or require additional verification where reasonably necessary to protect the Services or other users.

6. Health and Wellness Disclaimer (Including Pregnancy)

Simor is a consumer wellness and nutrition tracking tool. It is not a medical service.

Without limiting the generality of the foregoing:

  1. Not medical advice. Content, estimates, goals, insights, and AI outputs in the Services are for general informational and self-tracking purposes only. They are not medical advice, diagnosis, prognosis, or treatment.
  2. Not a medical device. The Services are not a medical device and are not intended for clinical use.
  3. Not for diagnosis or treatment. Do not use the Services to diagnose, treat, cure, or prevent any disease or medical condition.
  4. Not for pregnancy. The Services are not intended for pregnant people or for prenatal nutritional guidance. If you are pregnant, trying to become pregnant, or breastfeeding, consult a qualified healthcare professional before relying on any nutrition or weight-related information.
  5. Not for eating disorders or clinical care. The Services are not intended for the treatment of eating disorders or other clinical conditions. If you have or suspect you have an eating disorder or other health condition, seek appropriate professional care. In Canada, you may contact the National Eating Disorder Information Centre (NEDIC) at 1-866-NEDIC-20 or https://nedic.ca. In an emergency, contact local emergency or crisis services.
  6. Allergens. Do not rely on the App to identify allergens, ingredients, or food safety. AI may miss allergens or misidentify foods. If you have food allergies or intolerances, verify ingredients independently.
  7. No medication or insulin dosing. Do not use Simor outputs to calculate or adjust insulin, medication, or other clinical dosing.
  8. Safety of goals. The Services are not designed to support unsafe calorie deficits or rapid weight loss. Goals and estimates are tools for self-tracking, not clinical prescriptions. We may refuse or limit features that appear unsafe, but you remain responsible for your health decisions.
  9. Your decisions. Decisions about diet, nutrition, weight, exercise, supplements, and health are yours alone. Always seek the advice of a physician or other qualified health provider with any questions you may have regarding a medical condition or nutritional needs.
  10. Emergency. If you think you may have a medical emergency, call emergency services or your doctor immediately. Do not rely on the App.

7. AI Estimates and How AI Processing Works

7.1 How AI processing works

Some features use AI and automated systems. When you submit meal text, photos, or voice/audio, those inputs may be transmitted to third-party AI providers (currently including Google’s generative AI services accessed via Firebase AI Logic / similar integrations) so we can generate transcriptions and nutrition estimates. Provider processing is also described in our Privacy Policy and governed by our agreements with those providers.

7.2 Limits of AI estimates

You understand and agree that:

  • AI and automated estimates can be inaccurate, incomplete, outdated, or biased;
  • results may vary based on photo quality, lighting, portion size, hidden ingredients, preparation methods, incomplete descriptions, and transcription errors;
  • nutrition databases and models are imperfect;
  • goals and progress metrics in the App are approximations and tools for self-tracking, not guarantees of health outcomes; and
  • you should not rely solely on the Services for medical, dietary, athletic, allergy-safety, or clinical decisions.

We do not warrant that any calorie count, macro split, food identification, allergen information, transcription, or recommendation is correct or suitable for you.

8. User Content

8.1 What you submit

You may submit content to the Services, including meal descriptions and other text, voice/audio recordings, photos of food for analysis, profile information (including optional avatar images), and feedback (“User Content”).

8.2 How different content is handled (current product practices)

As of these Terms:

  • Meal text and logs may be stored so we can provide history, sync, goals, and related features.
  • Meal photos are prepared on your device and transmitted for AI analysis. We design the Services so meal photos are not uploaded to our durable cloud storage as a retained meal-photo library. Transient processing needed to complete an analysis may still occur. Meal photos do leave your device when sent to AI providers for analysis.
  • Voice/audio used for meal logging is transmitted for transcription/analysis. We do not offer a retained public voice library; retention details (if any short-lived processing copies exist) are described in the Privacy Policy.
  • Profile avatars (if you add one) may be uploaded to durable cloud storage and may be included in backups until you remove them or delete your account, as described in the Privacy Policy.
  • Backups. Retained account content may persist in encrypted backups for a limited period after deletion, as described in the Privacy Policy.

We may update these practices over time. If we begin retaining meal photos as a durable user library, we will update these Terms and/or the Privacy Policy as appropriate.

8.3 Ownership

As between you and us, you retain ownership of your User Content, subject to the license below and any third-party rights in content you did not create.

8.4 License you grant us

You grant Simor Labs Inc. a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display to you, analyze, and otherwise use your User Content solely as reasonably necessary to:

  • operate, maintain, secure, troubleshoot, and provide the Services to you;
  • improve the Services (including accuracy, reliability, safety, and performance), in each case using de-identified or aggregated information that is not reasonably identifiable to you; and
  • comply with law and enforce these Terms.

This license is sublicensable only to our service providers and processors who help us run the Services (including AI providers that process inputs to generate estimates), and transferable only in connection with an assignment of these Terms as permitted in Section 20.

We do not use your identifiable meal photos, meal text, or voice recordings to train AI models. We may use de-identified or aggregated information to improve the Services.

This license is not a grant for us to sell your identifiable meal photos, meal text, or voice recordings to advertisers, or to publicly display your private meal logs as a public feed. We do not currently offer a public social feed of user meals.

When your account is deleted or these Terms terminate, this operational license ends, except for: (a) de-identified or aggregated information that is no longer personal information; and (b) copies we retain as required by law or for security, dispute, or backup purposes, as described in the Privacy Policy.

8.5 Your responsibilities for User Content

You represent and warrant that you have all rights needed to submit User Content and to grant the license above, and that your User Content will not violate law or infringe others’ rights. You agree not to submit content that is unlawful, harmful, or deceptive, or that you do not have permission to use.

8.6 Feedback

If you send ideas, suggestions, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback without restriction or compensation to you. Feedback is not confidential unless we agree otherwise in writing.

9. Free Tier, Subscriptions, Billing, Cancellation, and Refunds

9.1 Free tier

We may offer free access to some features. Free access may be limited (for example, a daily limit on food logs) and those limits may change.

9.2 Paid subscriptions

We may offer paid subscriptions or other in-app purchases that unlock additional features. The price, currency, length of the subscription period, what is included, any free trial or introductory offer, what happens when a trial ends, and auto-renewal terms are disclosed in the App paywall and/or the applicable app store purchase sheet at the time of purchase. Those purchase disclosures form part of your agreement with us for that purchase.

9.3 App Store and Google Play billing

Purchases are processed by Apple (App Store) and/or Google (Google Play), and may be facilitated by intermediaries such as RevenueCat. We do not collect or store your full payment card number for these store purchases. Payment, tax display, and currency are controlled by the applicable store checkout. Payment terms are also governed by Apple’s and/or Google’s terms and policies.

9.4 Auto-renewal

Paid subscriptions auto-renew at the end of each billing period at the price and term disclosed at purchase (or as otherwise required by the store and applicable law), until you cancel. Your payment method on file with Apple or Google will be charged for each renewal. We will not increase your renewal price without the consent or notice required by the store and applicable law.

9.5 Cancellation

Cancel a subscription by managing subscriptions in your Apple ID or Google Play account settings (and, where Google requires it, via an in-app link to Google Play’s subscription management). Deleting the App or your Simor account does not automatically cancel a store subscription. After you cancel, you generally keep access until the end of the then-current paid period, unless mandatory law or store rules provide otherwise.

9.6 Refunds and statutory rights

Refunds for store purchases are administered under Apple’s and/or Google’s refund policies. We do not independently process card refunds for App Store or Google Play purchases. You may also contact us at support@simor.app and we will try to help where we reasonably can.

Nothing in these Terms limits non-waivable statutory rights you may have regarding withdrawals, refunds, repairs, re-performance, price reduction, or cancellation under the consumer laws of your place of residence (including, where applicable, EU/EEA, UK, Canadian provincial, or U.S. state automatic-renewal rules). Store administration does not replace those rights where they apply.

9.7 Trials

If a free trial or introductory offer is offered, its length and what happens when it ends will be disclosed at signup/purchase. Unless you cancel before the trial ends as required by the store disclosure, you may be charged for the subscription. Unused trial time may be forfeited if you subscribe early, where the store’s rules and purchase disclosure so provide.

10. Intellectual Property and License to Use the App

10.1 Our IP

The Services, including software, design, text, graphics, logos, mascot assets, animations, trademarks, and other content we provide (excluding your User Content), are owned by us or our licensors and are protected by intellectual property laws.

10.2 Your license to use the App

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on devices you own or control, solely for your personal, non-commercial use of the Services, and consistent with any applicable Usage Rules set forth in the Apple Media Services Terms and Conditions (or successor) or Google Play terms.

You must not (except to the extent mandatory law prohibits these restrictions):

  • copy, modify, distribute, sell, lease, or reverse engineer the App or our systems;
  • remove proprietary notices;
  • use our trademarks or branding without our prior written permission; or
  • use the Services to build a competing product by systematically extracting our content or data.

10.3 Apple-required terms (iOS)

If you obtain the App from the Apple App Store, the following apply in addition to these Terms (and control to the extent of conflict solely on the subjects below):

  1. Acknowledgement. These Terms are concluded between you and Simor Labs Inc. only, not with Apple Inc. (“Apple”). We—not Apple—are solely responsible for the App and its content.
  2. Scope of license. The license granted to you for the App is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing, volume purchasing, or Legacy Contacts as permitted by Apple.
  3. Maintenance and support. We—not Apple—are solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services for the App.
  4. Warranty. We—not Apple—are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App (meaning the Licensed Application purchase price, if applicable—not automatically every subscription charge) to the maximum extent permitted by law. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are our sole responsibility.
  5. Product claims. We—not Apple—are responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  6. Intellectual property claims. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, we—not Apple—will be solely responsible for the investigation, defense, settlement, and discharge of any such claim as required by these Terms.
  7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Third-party terms. You must comply with applicable third-party terms when using the App (for example, your wireless data service agreement).
  9. Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

10.4 Google Play

If you obtain the App from Google Play, these Terms are between you and Simor Labs Inc. only, not Google LLC or its affiliates (“Google”). Google is not responsible for the App or its content. Your use of Google Play and subscriptions purchased there is also subject to Google’s terms. Nothing in these Terms expands Google’s obligations beyond Google’s own terms, or limits non-waivable rights you have against us.

11. Prohibited Uses

You agree not to:

  • use the Services unlawfully or for fraudulent purposes;
  • impersonate others or misrepresent your affiliation;
  • interfere with, disrupt, or attempt unauthorized access to the Services or related systems;
  • probe, scan, or test the vulnerability of our systems without authorization;
  • upload malware or harmful code;
  • systematically scrape, harvest, or extract data from the Services to build a competing dataset or product, without our prior written consent;
  • circumvent free-tier limits, subscription gates, security, or access controls;
  • use the Services to provide clinical care or to present Simor outputs as professional medical advice to patients or clients in a commercial clinical practice, unless we expressly authorize that use in writing;
  • use Simor outputs for insulin or other medication dosing; or
  • submit User Content you do not have the right to submit.

We may investigate violations and cooperate with law enforcement where appropriate. We may seek injunctive or other equitable relief for IP infringement, scraping, or abuse without first exhausting other remedies.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy: https://simor.app/privacy-policy.

13. Third-Party Services

The Services may rely on third parties, including Apple, Google, cloud hosting and databases, analytics providers, crash reporting, authentication providers, payment/subscription platforms (such as RevenueCat), and AI model providers (including Google generative AI services).

Those third parties have their own terms and privacy practices. We are not responsible for third-party services we do not control, including outages, policy changes, or errors in third-party AI models, except to the extent we cannot disclaim responsibility under applicable law.

Links to third-party websites or resources are provided for convenience only.

14. Changes to the Services

We may modify the Services over time. Material reductions to paid features are addressed in Section 15. Changes to these Terms are addressed in Section 1.

15. Suspension, Termination, and Discontinuation

You may stop using the Services at any time. You may request deletion of your account via in-app account deletion features (where available) or by contacting support@simor.app. Subscription cancellations must still be handled through Apple or Google as described above.

We may suspend or terminate your access if:

  • you materially breach these Terms;
  • we reasonably believe your use creates risk or legal exposure for us, other users, or third parties;
  • we are required to do so by law or a platform provider; or
  • we discontinue the Services.

If we discontinue the Services or materially remove paid subscription benefits other than because of your breach or legal/security necessity, then—for the then-current paid period—you keep any non-waivable statutory remedies, and we will not oppose legitimate store refund requests for unused prepaid value where store rules allow. We may also provide a reasonably equivalent substitute feature when feasible.

Upon termination, your license to use the App ends. Sections that by their nature should survive (including intellectual property ownership, disclaimers, limitation of liability, indemnity, governing law, and miscellaneous) will survive.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, AND SUBJECT TO SECTION 17, WE DO NOT WARRANT THAT:

  • the Services will be uninterrupted, secure, or error-free;
  • AI estimates, transcriptions, or nutrition information will be accurate or complete;
  • defects will be corrected; or
  • the Services will meet your health, fitness, allergy-safety, or dietary requirements.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, our warranties are limited to the minimum extent required by law, and mandatory consumer quality / digital-content conformity remedies remain available where they cannot be waived.

17. Limitation of Liability

17.1 Non-excludable liability. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including (where such rules apply) liability for fraud or fraudulent misrepresentation; gross negligence or willful misconduct; death or personal injury caused by negligence; or rights under mandatory consumer protection, privacy, or digital-services statutes that cannot be waived. If you are a consumer, you may have additional rights in your place of residence; these Terms do not seek to override non-waivable consumer rights.

17.2 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND SUBJECT TO SECTION 17.1, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; LOSS OF GOODWILL; OR COST OF SUBSTITUTE SERVICES — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.3 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND SUBJECT TO SECTION 17.1, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNTS YOU PAID FOR THE SIMOR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM (INCLUDING SUBSCRIPTION AMOUNTS COLLECTED BY APPLE OR GOOGLE FOR YOUR SIMOR SUBSCRIPTION, TO THE EXTENT ATTRIBUTABLE TO US). IF YOU PAID NOTHING FOR THE SERVICES DURING THAT PERIOD, THAT AMOUNT IS ZERO FOR CLAIMS THAT MAY LAWFULLY BE LIMITED.

18. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Simor Labs Inc. and its directors, officers, employees, and agents from and against third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your willful misuse of the Services;
  • your User Content;
  • your material breach of these Terms or applicable law; or
  • your violation of any third-party right.

We will provide prompt notice of a covered claim where practicable, and we may control the defense. You will reasonably cooperate. You will not settle a claim that imposes non-monetary obligations on us without our prior written consent.

This indemnity does not apply to the extent a claim is caused by our breach, negligence, willful misconduct, or gross negligence, or to the extent prohibited by consumer protection law.

19. Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, except that this choice of law does not deprive you of non-waivable protections of the law of your province or country of residence.

Subject to any mandatory consumer-forum rules that require otherwise (including rules that allow a consumer to sue in their place of domicile), you and we agree that the courts of Toronto, Ontario, Canada have jurisdiction over disputes arising out of or relating to these Terms or the Services. Where mandatory law gives you another forum, that forum remains available to you; we will not require you to waive a non-waivable home-forum consumer right.

Quebec. If you are a consumer in Quebec, mandatory provisions of Quebec law (including the Civil Code of Quebec and consumer protection rules) may apply regardless of the Ontario governing-law clause. If we offer the Services under an adhesion contract in Quebec, a French version of these Terms may be required before you can choose another language; until a French version is published, Quebec availability may be limited as required by law.

20. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any in-App purchase disclosures that expressly form part of your agreement with us, constitute the entire agreement between you and us regarding the Services and supersede prior agreements on that subject.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate.
  • Electronic communications. You consent to receive transactional, account, security, and Terms-related communications from us electronically (including in-App notices and email). This is not consent to receive commercial electronic marketing messages where separate consent is required (including under Canada’s Anti-Spam Legislation); marketing consent, where sought, will use a separate CASL-compliant mechanism.
  • Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
  • Language. These Terms are prepared in English. If we provide a translation, the English version controls except where mandatory law (including Quebec language rules) requires otherwise.
  • Headings. Headings are for convenience only.
